Digital Affiliate Terms & Conditions

1. Introduction

This document outlines the terms and conditions ("Agreement") for participating in the WaveNodes Digital Affiliate Program ("Program"), operated by WaveNodes Technologies, a business registered in Hyderabad, Telangana, India. By enrolling in or participating in the Program, you ("Affiliate") agree to abide by the terms detailed herein and the laws of India.

2. Eligibility Criteria

Must be an individual or business entity with a valid Indian address.

Must be 18 years or older.

KYC (Know Your Customer) documentation is mandatory, including:

• PAN Card
• Aadhaar Card (or Passport/Voter ID)

If registered under GST, the valid GST registration certificate must be provided at the time of KYC.

Only individuals/entities not currently blacklisted or under regulatory restrictions may apply.

3. Joining & Activation

The Program is free to join. No joining fee or initial investment is required.

Affiliates will be approved upon successful KYC verification.

Admin reserves the right to accept or reject any application without assigning a reason.

4. Commission Structure

Introductory commission of 40% is paid on each new client's subscription and renewal amount subject to conditions below. Standard commission is 25% in all and otherwise cases.

"New client" means any individual who has never held a WaveNodes subscription/account in the past.

Commission is recurring — payable every month as long as the referred client remains active and continues monthly payments.

Affiliate must maintain a minimum average of 10 active accounts per month (excluding their own) to retain the 40% commission rate.

If average monthly active accounts fall below 10 during a quarter, commission may be revised to standard slab after review.

5. Commission Limits & Payout Policy

Maximum commission earnings for an individual affiliate is ₹5,00,000 per calendar month.

If an affiliate's earnings exceed ₹5,00,000, they must enroll under the Corporate Affiliate Program.

Payouts are made on a monthly basis, by the 15th of the following month, via NEFT/RTGS/IMPS to the affiliate's verified bank account.

6. Taxation & Deductions

TDS (Tax Deducted at Source) is applicable on all payouts as per Income Tax Act, 1961:

• PAN submitted: TDS at 5%
• PAN not submitted: TDS at 20%

GST (if applicable) will be handled as follows:

• GST-registered affiliates must raise invoices including GST.
• WaveNodes will not be responsible for GST filings or non-compliance on the part of the affiliate.

Affiliate shall be solely responsible for declaring and paying taxes on their earnings.

7. Affiliate Responsibilities

Maintain at least 1 active paid client account (other than own) to keep the affiliate account active.

Must have one active license of any WaveNodes product themselves, which must not be shared with others.

Clients cannot be transferred or shared between affiliates under any circumstances.

Affiliate shall not engage in any unethical, misleading, or spam-based marketing.

Affiliate shall not make false claims about WaveNodes features, pricing, or performance.

8. Marketing & Promotions

Affiliates are permitted to offer discounts from their own commission.

To issue coupon codes, affiliate must submit a written request 3 working days in advance with details.

Use of official brand assets, trademarks, and logos must comply with guidelines provided during onboarding.

9. Data Protection & Confidentiality

All customer and affiliate data shall be handled in compliance with the Information Technology Act, 2000 and related data privacy rules.

Affiliate agrees not to misuse, sell, or share personal data of clients or leads.

Any breach of confidentiality or misuse of proprietary materials shall lead to immediate termination and legal action.

10. Training & Support

Time to time, affiliates will receive training materials that can be of help.

Dedicated priority technical support will be available to affiliates via email or whatsapp.

Queries will be responded to within 24 business hours.

11. Inactivity & Termination

Affiliate account will be marked inactive if no client activity is recorded for a full calendar quarter.

Inactive accounts will be deactivated at the end of the quarter without further notice.

Affiliate account will be terminated in cases of:

• Misrepresentation or fraud
• Violation of Indian laws or regulatory norms
• Sharing or resale of own license
• Multiple account misuse
• Use of automated referral systems or bots

12. Liability & Disclaimer

WaveNodes Technologies shall not be held liable for any damages, indirect or consequential, resulting from participation in the Program.

The affiliate acknowledges participation is voluntary and based on personal or business marketing efforts.

13. Dispute Resolution

This agreement shall be governed by the laws of India.

Any disputes shall be subject to jurisdiction of competent courts in Hyderabad, Telangana only.

WaveNodes reserves the right to revise or amend these terms by publishing the update on the official website or notifying via email.

14. Amendments & Final Authority

WaveNodes Technologies reserves the right to change commission rates, policies, or conditions of this program at its sole discretion.

15. Compliance with License Agreement & Privacy Policy

The Affiliate must read, understand, and agree to the WaveNodes License Agreement and Privacy Policy as published on the official WaveNodes website.

Any violation of these policies shall result in immediate termination of affiliate rights and possible legal consequences.

The Affiliate acknowledges that the use of any promotional materials, including the suite itself, shall be governed by the terms outlined in the license agreement and applicable copyright laws.

16. Compliance with SEBI & Regulatory Marketing Guidelines

Affiliates must not promise, guarantee, or imply any assured returns, profits, or financial outcomes from using the WaveNodes suite, directly or indirectly, in any form (written, verbal, or digital).

All promotions, social media content, webinars, and communications must adhere to SEBI's Code of Conduct and Investor Awareness Guidelines, especially those applicable to investment-related tools and services.

Affiliates are strictly prohibited from acting as investment advisors or portfolio managers, unless separately registered and legally authorized under applicable SEBI regulations.

Use of disclaimers is mandatory in any content created by affiliates where the analytics suite is demonstrated or discussed in the context of market performance.

Affiliates must clearly mention:

"WaveNodes Technologies does not provide any investment advice. This is an analytics tool. Past performance is not indicative of future results."

Any changes will be notified in writing 7 days in advance.

Final interpretation of terms lies solely with WaveNodes Technologies.
